Terms of Use

Welcome to aiworks (“aiworks”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of the aiworks website, products, applications, and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our Services.

1. Use of Our Services

You may use our Services only for lawful purposes and in accordance with these Terms. You agree that you will not:

  • Violate any applicable laws or regulations.
  • Attempt to gain unauthorized access to our systems or networks.

Nothing in these Terms transfers ownership of any intellectual property rights to you.

3. Limited License

Subject to these Terms, aiworks grants you a limited, non-exclusive, non-transferable, revocable license to access and use our website for personal or internal business purposes.

Unless we provide prior written permission, you may not:

  • Copy or reproduce our content.
  • Modify or create derivative works.
  • Reverse engineer any software or systems.
  • Resell, sublicense, or redistribute our materials.
  • Remove copyright or proprietary notices.
  • Mirror or frame any part of our website.

This license automatically terminates if you violate these Terms.

4. Client Projects

Unless otherwise agreed in writing:

  • Clients retain ownership of the data they provide.
  • aiworks retains ownership of its proprietary software, tools, frameworks, methodologies, reusable components, AI infrastructure, and pre-existing intellectual property.
  • Ownership of project deliverables is governed by the applicable Master Services Agreement, Statement of Work, or other written contract.

5. User Submissions

If you submit project information, feedback, testimonials, suggestions, or other materials to aiworks, you confirm that you have the necessary rights to provide such content.

You grant aiworks a non-exclusive, worldwide, royalty-free license to use such submissions solely for:

  • Delivering requested Services.
  • Improving our products and Services.
  • Responding to inquiries.
  • Internal business operations.

We will not publicly disclose confidential client information without permission unless required by law.

6. AI Services

Our Services may include artificial intelligence systems that generate content, recommendations, analyses, software, or automations. While we strive to provide reliable outputs, AI-generated content may contain inaccuracies, omissions, or unexpected results.

You acknowledge that:

  • AI outputs should be independently reviewed before use.
  • aiworks does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.
  • You remain responsible for decisions made using AI-generated content.

7. Confidentiality

During the course of providing Services, both parties may exchange confidential information.

Unless otherwise agreed or required by law, aiworks will use reasonable measures to protect confidential information and will not disclose it to third parties except as necessary to provide the Services.

8. Third-Party Services

Our Services may integrate with third-party platforms, cloud providers, APIs, payment processors, analytics providers, scheduling software, and AI model providers. We are not responsible for:

  • Third-party products or services.
  • Their availability or uptime.
  • Their security practices.
  • Their privacy policies.
  • Their performance or accuracy.

Your use of third-party services is subject to their respective terms and policies.

9. Disclaimer

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by applicable law, aiworks disclaims all warranties, express or implied, including warranties of:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy
  • Reliability
  • Availability

We do not guarantee uninterrupted, secure, or error-free operation of our Services.

10. Limitation of Liability

To the maximum extent permitted by law, aiworks shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

  • Loss of revenue
  • Loss of profits
  • Business interruption
  • Loss of goodwill
  • Loss of data
  • Loss of business opportunities

arising from or relating to your use of our Services.

Where liability cannot be excluded by law, our total liability shall not exceed the amount paid by you to aiworks for the applicable Services during the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless aiworks, its affiliates, employees, contractors, directors, officers, and partners from any claims, liabilities, damages, costs, or expenses arising from:

  • Your use of the Services.
  • Your breach of these Terms.
  • Your violation of applicable law.
  • Your infringement of another person’s rights.
  • Your misuse of AI-generated outputs.

12. Privacy

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

13. Changes to the Services

We may modify, suspend, or discontinue any part of our Services at any time without prior notice.

14. Changes to These Terms

We may revise these Terms from time to time.

The updated version will become effective when published on our website. Continued use of the Services after any updates constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India, unless otherwise required by applicable law.
